CIRCULAR TO SHAREHOLDERS AND NOTICE OF GENERAL MEETING

Oxford, UK, 3 February 2015 - Summit (AIM: SUMM), the drug discovery and development company advancing therapies for Duchenne Muscular Dystrophy and C. difficile infection, announces that, following the announcement yesterday of a proposed offering of American Depositary Shares ('ADSs') to be listed on the NASDAQ Global Market in the United States, a circular and notice of general meeting (the 'Circular') has now been posted to shareholders.  The proposed listing of ADSs on NASDAQ will complement the continued admission of Summit's ordinary shares to trading on AIM.

The Circular contains further information about the Company's decision to seek a US listing and about the proposed US offering and listing on NASDAQ, along with details of proposals to change the Company name to Summit Therapeutics plc and to adopt new articles of association ('New Articles').

The general meeting is to be held at the offices of Fasken Martineau LLP, 17 Hanover Square, London, W1S 1HU at 12:00 noon on Thursday, 19 February 2015 (the 'General Meeting').  The Circular also contains details and explanatory notes regarding the resolutions to be put to Shareholders at the General Meeting in order, inter alia, to implement the US Offering.  The Proxy Form has also today been posted to shareholders.

The Circular and New Articles are now available to view on the Company's website (www.summitplc.com) and copies will also be available from the registered office of Summit, 85b Park Drive, Milton Park, Abingdon, Oxfordshire, OX14 4RY.
