Trovagene Prices $4.5 Million Public Offering
SAN DIEGO, CA December 15, 2017 Trovagene, Inc. (NASDAQ: TROV), a precision medicine biotechnology company, today announced the pricing
of a public offering of 15,000,000 shares of its common stock (or common stock equivalents) and common warrants to purchase up to an aggregate of 15,000,000 shares of common stock. Each share of common stock (or common stock equivalent) is being
sold together with a common warrant to purchase one share of common stock at a combined effective price to the public of $0.30 per share and accompanying common warrant.
H.C. Wainwright & Co. is acting as exclusive placement agent for the offering.
The common warrants will be exercisable immediately at an exercise price of $0.30 per share and will expire five years from the date of issuance. The shares
of common stock (or common stock equivalents) and the accompanying common warrants can only be purchased together in this offering, but will be issued separately. This offering is expected to close on or about December 19, 2017, subject to
customary closing conditions.
The estimated net proceeds to Trovagene are expected to be approximately $4.1 million, excluding the proceeds, if any, from
the exercise of the warrants. Trovagene intends to use the net proceeds to fund research and development activities and for working capital and general corporate purposes.
