(CSE: PSYG) (“ Psyence ” or the “ Company ”), is pleased to announce that it has successfully closed the second tranche (“Tranche 2”) of its previously announced non‑brokered private placement (the “Offering”), relying on the accredited investor exemption under section 2.3 of National Instrument 45-106 — Prospectus Exemptions. Under the Offering, the Company issued a total of 6,000,000 common shares at a subscription price of C$0.10 per share to raise gross proceeds of C$600,000, divided into two tranches: Tranche 1 (closed June 25, 2025): 4,760,000 common shares issued for gross proceeds of C$476,000 Tranche 2 (closed July 4, 2025): 1,240,000 common shares issued for gross proceeds of C$124,000.
