Company Announcement COPENHAGEN, Denmark; October 7, 2026 – Genmab A/S (Nasdaq: GMAB) Today, Genmab A/S held an Extraordinary General Meeting. At the Extraordinary General Meeting the proposal from the Board of Directors on remuneration of the Board of Directors for 2026, including share-based remuneration in the form of restricted stock units, was approved.
As a result of the adoption of the proposal, a total of 5,300 restricted stock units were granted to the members of the Board of Directors in accordance with Genmab A/S’ Remuneration Policy.
Each restricted stock unit is awarded cost-free and provides the owner with a conditional right to receive one share in Genmab A/S of nominally DKK 1. The fair value of each restricted stock unit is equal to the closing market price of one Genmab A/S share on the date of grant, DKK 2,487.00.
The restricted stock units will vest on the first banking day of the month following a period of three years from the date of grant and are otherwise subject to the terms and conditions set out in Genmab A/S’ Remuneration Policy and the applicable restricted stock unit program.
