500 million of 10 Year Senior Notes

for Refinancing Purposes

Bad Homburg, Germany June 18, 2007 -- Fresenius Medical Care AG

& Co. KGaA ( the Company ) (Frankfurt Stock Exchange: FME, FME3)

(NYSE: FMS, FMS-p), the world s largest provider of Dialysis Products and

Services, today announced that it intends to sell approximately US$ 500 million

senior unsecured notes. The notes will be offered mainly to US institutional

investors. Proceeds from the offering will be used to reduce indebtedness under

the Company s senior secured bank credit facility and other, short-term

debt, and for general corporate purposes.

The proposed offering will not be registered under the Securities Act of 1933,

but will be offered in the United States pursuant to an exemption from

registration under Rule 144A as well as outside the United States under

Regulation S. The Company expects completion of the offering at the beginning of
