CYCLACEL ANNOUNCES ADJOURNMENT OF SPECIAL PREFERRED STOCKHOLDERS MEETING

BERKELEY HEIGHTS, NJ October 6, 2010 Cyclacel Pharmaceuticals, Inc. (NASDAQ: CYCC, NASDAQ: CYCCP), a

biopharmaceutical company developing oral therapies that target the various phases of cell cycle control for the

treatment of cancer and other serious diseases, announced today that a special meeting (the Meeting ) of the Preferred

Stockholders (the Preferred Stockholders ) of Cyclacel Pharmaceuticals, Inc., was adjourned until November 1, 2010,

at 1:00 p.m. (Eastern Daylight Time), and will be held at the offices of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo,

P.C., The Chrysler Center, 666 Third Avenue, New York, New York 10017, 25th floor. The Meeting was adjourned because a

quorum of our Preferred Stockholders was not present in person or represented by proxy to transact business at the

The Meeting was called to elect two directors to the Company s board of directors. The Certificate of Designations

governing the preferred stock provides that, if the Company fails to pay dividends on its Preferred Stock for six

quarterly periods, the Preferred Stockholders are entitled to nominate and elect two directors to the Company s board

of directors. This right accrued to the Preferred Stockholders as of August 2, 2010. The adjournment was approved by

the vote of the majority of the holders of our preferred stock present in person or represented by proxy at the Meeting

and entitled to vote on the adjournment.
