Acadia Healthcare Prices $300 Million Senior Unsecured Notes
FRANKLIN, Tenn. - June 17, 2014 Acadia Healthcare Company, Inc. (NASDAQ: ACHC) today announced the pricing of $300 million in senior
unsecured notes due 2022 (the Notes ) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the Securities Act ). The Notes will be sold to investors at a price of
100% of the principal amount thereof and will bear interest at a rate equal to 5.125% per annum.
The Company intends to use its proceeds from the
offering to fund a portion of the purchase price for the planned acquisition of Partnerships in Care and the fees and expenses related to the transaction. Consummation of the offering will occur concurrently with, and is conditioned upon, the
closing of the Partnerships in Care acquisition scheduled to occur on July 1, 2014.
The Notes are to be offered only to qualified institutional
buyers in reliance on Rule 144A under the Securities Act and outside the United States only to non-U.S. persons pursuant to Regulation S.
